Overview of Contracts in MatterSuite
Contract Header Elements:
Contract Title and Details: Displays the name of the agreement, its unique ID number, and the contract type
Navigation Tabs: Switch between different functional areas of the contract workspace, such as Overview, Approvers, Members, and Files.
Contract Stage: Indicates the current phase of the contract. Can proceed to the next contract stage from here.
Send Approval Reminder: Instantly trigger an email reminder to any internal users whose approval is currently pending.
Counterparty Access: The external organization or individual associated with the contract, with a button to securely grant them access to the document.
Quick Actions Menu: Easily edit (pencil), delete (trash can), or duplicate (copy) the current contract record.
Contract Overview
Contract Summary: This section shows the key facts about the contract at a glance, such as the contract number, type, and value. These fields update automatically once the contract is created and help you quickly identify what the contract is about.
Key Dates: Shows the commencement date, end date, renewal type, and notice period. Use this to track when the contract starts, when it ends, and how much notice is needed if it needs to be renewed or cancelled.
Parties Involved: Displays the counterparty, the contract owner, and the team assigned to manage it. Just click on any field to update who's responsible or involved.
Description: A free:text area where you can add extra context, notes, or a short summary of what the contract covers. This is useful for anyone reviewing the contract later.
Tags: Add or select tags to help categorize the contract, making it easier to search and filter later on.
File Header: Shows the contract name along with the last updated date, so you always know how current the version you're viewing is.
Amendments: Click here to view or add any amendments made to the contract over time.
Analyze Contract: Runs a risk analysis on the contract to help you quickly review its key terms and details.
Versions Dropdown: Lets you switch between different versions of the contract file, so you can compare or refer back to earlier drafts.
Action Icons: Quick options to upload a new file, download the current version, or share the contract with others.
Viewer Toolbar: Includes tools to zoom in or out, select text, search within the document, and download it directly from the preview screen.
Document Preview: The main area where the contract itself is displayed, so you can read through the full content without leaving the page.
Update Contract
Contract Title: Edit the name of the contract here. This is the title you'll see across the system whenever the contract is listed or searched.
Commencement Date: Set the date the contract officially begins. Click the calendar icon to pick a date instead of typing it manually.
End Date: Set the date the contract is due to expire or complete.
Contract Value: Enter the monetary value of the contract, and choose the correct currency from the dropdown next to it.
Renewal Type: Choose how the contract should be renewed, such as Manual or Automatic, depending on how you want it handled once it nears the end date.
Description: Add any extra notes or details about the contract that aren't captured in the other fields.
Visibility Option: Tick the "Only members can see this contract" box if you want to restrict access to specific team members only.
The Members tab lets you manage everyone connected to the contract, including the owner, counterparty, and any other participants.
Each member is listed along with their name, email, and role, so you always know who's involved and what part they play. You can quickly add a new member using the "Add Member" button, search for someone specific, or edit and remove existing members using the icons next to their name.
The Amendments tab lets you track any changes made to the contract from start to finish. You can switch between active and deleted amendments, and filter by stage such as Draft, Negotiating, Approval, Signing, or Executed to see exactly where each amendment stands. The search bar makes it quick to find a specific amendment whenever you need it.
The Files tab is where all documents related to the contract are stored and organized. You can upload new files, create a document from an existing template, or set up folders to keep everything structured. Each file shows its title, category, last modified date, and received date, and you can filter to view all files, files only, or files shared with you, making it easy to locate and manage what you need.
The Settings tab lets you configure important contract preferences. You can set up Contract Expiry Reminders by adding notifications, so you're alerted before the contract runs out. There's also a Renewal Notice Period field where you can define how many days in advance you should be notified about renewal, ensuring nothing is missed. Once you've made your changes, simply click Save to apply them.
